MEMBERSHIP CRITERIA Because investment in new business carries high risks as well as the possibility of high rewards, Envestors Private Investor Club can only accept members who fall into one of the following classes of individual, known together as “Eligible Recipients” as defined by the Financial Services and Markets Act 2000 ("FSMA"):

• Persons with professional experience in matters relating to investments of the type described as described in article 19 of the Financial Promotion Order; or

• Persons of the kind described in article 48, 49 (2), 50 and 50A of the Financial Promotion Order; or

• Any other persons to whom this document may be lawfully communicated.  

Potential investors who are uncertain of their status should refer to the relevant articles indicated of the Financial Promotion Order for their full terms and effect.  Promotions on this website are exempt from the general restriction (in section 21 of FSMA) on the communication of invitations or inducements to engage in investment activity on the grounds that it is made to Eligible Recipients. SELF CERTIFICATION 

You (the Member) must, within the last 12 months, have signed a certification statement, in the form required by the FSA, certifying you as either a high net worth individual or sophisticated investor. If required, we (Envestors LLP) can send you a Certification Statement Form. You confirm you will sign a new certification statement every 12 months, unless your circumstances change. You confirm you will notify us immediately, should your circumstances change and you no longer hold a signed certification statement.  If you are in any doubt about the contents of this document or the action to be taken, you should consult a person authorised under FSMA who specialises in advising on the acquisition of shares and other securities.

CLARIFICATION OF FEES (CLIENT CLARIFICATION)

The client of Envestors LLP is the company seeking finance and NOT the Member of Envestors Private Investor Club (the “investor”).Envestors LLP charges the client company a fee for raising finance (usually 5% of funds raised). Envestors may also charge the client company a placement fee for placing a non-executive director or chairman, as well as an initial corporate finance fee and marketing fee to assist with fund raising.  

Envestors LLP charges its Members a de minimis Annual Membership Fee.
